These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by NUYU Clinic Pty Ltd (ABN 35 692 027 937), trading as NUYU Health Technologies ("we", "us", "our"), including CompoundConnect, AestheticOS, PeptiClinic, and the NUYU Health Technologies website (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Who We Are

NUYU Health Technologies is a division of NUYU Clinic Pty Ltd, an Australian company registered in Victoria. We develop software for Australian healthcare practitioners, including practice management, telehealth, clinical governance, and patient engagement tools.

3. Eligibility

Our SaaS products (CompoundConnect, AestheticOS) are intended for use by registered Australian healthcare practitioners and their authorised staff. By creating an account, you represent that you are authorised to use the Services on behalf of your practice or organisation.

Our websites are accessible to the general public for informational purposes.

Our software products are tools that assist healthcare practitioners in delivering care. They do not provide medical advice, diagnosis, or treatment. All clinical decisions are the responsibility of the treating practitioner.

AI-assisted features (such as clinical note generation) produce draft outputs that must be reviewed and approved by a qualified practitioner before being finalised. We do not guarantee the accuracy of AI-generated content.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

Healthcare data processed through our platforms is stored in Australian data centres and handled in accordance with applicable healthcare privacy legislation.

8. Intellectual Property

All intellectual property in the Services, including software, design, trademarks, and content, is owned by NUYU Clinic Pty Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes in accordance with these Terms.

Data you input into our platforms remains your property (or your patients' property, as applicable). We do not claim ownership of your data.

9. Fees and Payment

Certain Services require payment of fees. Fees are as described on our website or in your service agreement. All amounts are in Australian dollars and are exclusive of GST unless stated otherwise.

We may change our fees with 30 days' notice. Failure to pay fees may result in suspension of your access to the Services.

10. Service Availability

We aim to provide reliable, continuous access to our Services but do not guarantee uninterrupted availability. We may perform scheduled maintenance with reasonable notice. We are not liable for any loss arising from temporary unavailability of the Services.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms or the Services is limited to the amount of fees you have paid to us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes or limits any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded or limited by agreement.

12. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access if you breach these Terms or if we discontinue the Services.

Upon termination, your right to use the Services ceases. We will make your data available for export for a reasonable period following termination, subject to our data retention obligations.

13. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and any courts of appeal therefrom.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email or in-app notification. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
